BILL NUMBER:S5555

Title of bill

An act to amend the public health law, in relation to allowing limited liability companies to operate renal disease diagnostic or treatment centers

Purpose

To permit limited liability companies (LLCs), not just corporations, to operate dialysis related treatment centers.

Summary of provisions

The bill amends section 2801-a of the Public Health Law to add LLCs to the law allowing corporations to operate renal disease (dialysis) diagnostic or treatment centers.

Justification

In 2008, the state legislature recognized the need for more investment in renal dialysis services and amended Public Health law to permit the operation of diagnostic and treatment centers offering dialysis-related services by publicly-traded corporations. Under the direct oversight of the Department of Health, such corporations and their principal stockholders or members must demonstrate sufficient experience and expertise in delivering high quality end-stage renal disease care. The provisions of Article 28 in relation to quality monitoring, incident reporting, and enforcement apply to these facilities.

The merits of the 2008 law apply equally to clinics whose owners have chosen the LLC form of business organization. In keeping with the intent of the 2008 law, LLCs should be permitted to qualify under Article 28 to operate renal disease diagnostic or treatment centers, on the same basis as corporations. The provisions of this section applicable to a corporation, including as to it's shareholders, would apply to an LLC and its members.
