BILL NUMBER:S7191
Title of bill
An act to amend chapter 159 of the laws of 1929, relating to increasing the number of trustees of The Clifton Springs Sanitarium Company from thirteen to fifteen and amending in that respect the deed of trust made by Henry Foster and wife to said Company, in relation to the number of members of such company
Purpose
To amend the law to change the authorized number of members of The Clifton Springs Sanitarium Company to one member and amending the deed of trust made by Henry Foster and his wife to The Company, in relation to changing the authorized number of members of the Company and the powers of the member.
Summary of provisions
Section one amends the law to change the deed of trust made to The Clifton Springs Sanitarium Company and to grant the board of trustees the power to amend the certificate of incorporation of The Clifton Springs Sanitarium Company to change the number of authorized members to one member that is a New York not-for-profit corporation. This section would also delegate to that corporation decision making authority as is permitted to be exercised by a corporation with authority to operate a hospital, residential health care facility, home health agency, adult home, diagnostic treatment center, or other type of health care facility or program, for and on behalf of The Clifton Springs Sanitarium Company.
Section two sets forth the effective date.
Justification
Upon formation of The Clifton Springs Sanitarium Company, power was granted to the Legislature to approve all changes to the format of the Company, including the number and type of members.
This legislation, if enacted, would give The Clifton Springs Sanitarium Company the power to replace the current members with a not for profit, tax exempt corporation that has the authority to operate a hospital, residential health care facility, home health agency, adult home, diagnostic treatment center, or other type of health care facility or program.
Effective date
Effective immediately.
