Title of bill

An act to amend the not-for-profit corporation law, in relation to approvals, notices and consents to certificates of incorporation

Purpose of the bill

To amend Section 404(i) of the Not-For-Profit Law relating to approvals, notices and consents to certificates of incorporation for not-for-profit corporations that solicit funds for or otherwise benefit the Armed Forces of the United State or of any foreign country or their auxiliaries.

Summary of provisions

Section 1 of the bill would amend Section 404, paragraph (i) of the Not-For-Profit Corporation (NFPC) Law, in relation to the requirement for endorsement by the "Chief of Staff" of every certificate of incorporation which seeks to solicit funds for or otherwise benefit the Armed Forces of the United States or of any foreign country or their auxiliaries. This sections deletes the words "Chief of Staff" and inserts the words "Adjutant General".

Section 2 of the bill would provide an immediate effective date.

Prior legislative history

Section 404, paragraph (i), formerly paragraph (h), was amended by Chapter 1058, Section 9, of the Laws of 1971; previously paragraph (i), was amended by Chapter 141, Section 72 of the Laws of 1988; so designated paragraph (h) by Chapter 139, section 1 of the Laws of 1993; and so designated paragraph (i), amended by Chapter 431, Section 1, of the Laws of 1993, deemed effective August 30, 1993.

Justification

This bill would amend the NFPC law relating to the requirement for endorsement by the "Chief of Staff' of every certificate of incorporation which seeks to solicit funds for or otherwise benefit the Armed Forces of the United States or of any foreign country or their auxiliaries.

In 1988, the title of the commissioner of DMNA was changed in the Military Law from "Chief of Staff' to "the Adjutant General." As a result, individuals seeking to incorporate a NFP organization related to the Armed Forces have experienced some confusion as to which state official is the endorsing authority. This bill will eliminate confusion and delay by clearly identifying the Adjutant General as the endorsing authority for a certificate of incorporation that is pending approval before the Department of State.

Fiscal implications

None.

Effective date

Immediate.
