What's happening

This bill exempts 100% of capital gains tax on sales of New York corporation stock to qualified employee-owned enterprises.

Why it matters

  1. Encourages Employee Ownership. By providing a tax break on capital gains for selling stock to employee-owned enterprises, this bill incentivizes business owners to transition ownership to their workers, potentially increasing the number of employee-owned companies in New York.

  2. Promotes Local Economic Stability. Requiring that the employee-owned enterprise have its commercial domicile in New York means that the benefits (such as job retention, local investment, and economic empowerment) are targeted to the state, helping to anchor businesses and jobs locally.

  3. Supports Federally Compliant ESOPs. The bill specifically includes employee stock ownership plans (ESOPs) that meet federal standards, ensuring that only established, regulated forms of employee ownership benefit, which may reduce risk of abuse and encourage best practices in employee ownership transitions.
