What's happening

This bill establishes "catastrophic business disruption insurance" to cover financial losses when a key person becomes disabled in a business.

Why it matters

  1. Helps safeguard businesses from sudden leadership loss. By insuring against the disability of a key person, this bill aims to prevent businesses from facing financial ruin or operational paralysis if a crucial partner or executive becomes incapacitated.

  2. Covers wide-ranging business expenses. The insurance can reimburse not just lost income, but also all overhead costs, routine expenses, and even capital outlays needed to keep the business running during the period of disability—potentially preventing layoffs or closures.

  3. Facilitates buyout arrangements and stability. The policy can cover buy/sell agreements, ensuring there are funds available to purchase the disabled individual's share, which can ease transitions, maintain investor confidence, and avoid disruptive ownership disputes.

  4. Expands insurance options for businesses. By permitting excess line brokers to offer this coverage (even when similar policies aren’t available from authorized insurers), the bill increases access to specialized risk management tools, particularly for businesses with unique or hard-to-insure leadership structures.

Title of bill

An act to amend the insurance law, in relation to excess disability insurance

Purpose

This bill creates a new kind of business disability-related coverage to protect businesses, and individuals associated with such businesses, from catastrophic loss where the limits of a primary disability insur- ance policy in force may be inadequate to properly cover losses relative to a business' financial circumstances, or where no primary business-re- lated disability insurance coverage can be obtained in the authorized insurer market by such business.

Summary of provisions

Section 1 of the bill establishes a new type of insurance, "catastrophic business disruption insurance," intended to protect businesses from financial loss caused by an individual integral to the successful func- tioning of the business becoming disabled due to sickness, ailment or bodily injury. Catastrophic business interruption insurance would pay claims monies to a business when the limits of a primary business disa- bility-related policy has been reached, or where such a primary policy cannot be obtained in the authorized insurer market. Catastrophic busi- ness disruption insurance would cover the overhead expenses of the busi- ness or the costs of a buy/sell agreement.

Section 2 of the bill re-numbers former paragraph 32 of Section 1113(a) of the Insurance Law as paragraph 33.

Section 3 of the bill adds new paragraph 32 to Section 2105 of the Insurance Law to authorize excess line brokers to sell catastrophic business disruption insurance in the excess line market.

Section 4 of the bill amends Section 4101 of the Insurance Law to add catastrophic business disruption insurance to the list of "non-basic kinds of insurance."

Section 5 of the bill amends Section 4103 of the Insurance Law to estab- lish stock insurer paid-in capital and paid-in surplus requirements of $100,000 and $50,000, respectively, for catastrophic business disruption insurance.

Section 6 of the bill amends Section 4107 of the Insurance Law to estab- lish domestic mutual insurer initial surplus and maintain surplus requirements of $100,000 for each category in connection with catastrophic business disruption insurance.

Section 8 of the bill establishes an immediate effective date.

Justification

Catastrophic business disruption insurance is a coverage that provides a layer of insurance over the maximum benefit obtainable through author- ized insurers, or in instances when no such coverage can be obtained at all. Most authorized disability insurers do not write business forms of disability insurance, and the few that do offer limited benefits. Busi- nesses, especially those that are functionally dependent on key employ- ees or business owners, risk failure in the event that the individual integral to their success becomes disabled due to sickness, ailment or bodily injury. The trickle-down impact on other employees of the busi- ness enterprise is real world, and can be financially devastating to such employees and their families. Catastrophic business disruption insurance can cushion the negative consequences of a key person disabil- ity event by providing funds to cover business overhead expenses such as employee salaries, rent, utilities costs, bank loans, equipment purchase and maintenance, computer systems maintenance and all other expense facets associated with running a business, or can cover the cost of a buy/sell agreement.

Fiscal implications
