What's happening

This bill allows Green-Wood Cemetery in Brooklyn to file an amended incorporation certificate and clarifies its corporate status.

Why it matters

  1. Clarifies Green-Wood Cemetery’s Legal Status. By explicitly stating that Green-Wood Cemetery is (and always has been) a corporation under New York’s not-for-profit corporation law, this bill resolves any ambiguity about its corporate existence, which could affect property rights, contracts, and governance.

  2. Enables Administrative Updates. The bill allows Green-Wood Cemetery to file an amended certificate of incorporation with the Department of State, potentially helping the organization correct, modernize, or clarify its foundational documents.

  3. Protects Past and Future Actions. The retroactive confirmation of corporate status could help shield Green-Wood Cemetery and its stakeholders from legal challenges regarding actions taken in the past, such as property acquisitions or financial transactions.
